6. Governing Law; Jurisdiction; Other Terms
These Terms are governed by the laws of the State of Delaware without reference to the principles of conflicts of laws thereof. The Terms constitute the entire agreement between the parties with respect to the subject matter hereof, and supersede all previous written or oral agreements between the parties with respect to such subject matter. The Terms may not be amended except in writing signed by both parties and no waiver by either party shall be deemed a waiver of any preceding or subsequent breach or default, unless such a waiver is in writing and signed by an authorized representative of Vici.
